Customer Subscription Terms
These are the standard business-to-business terms for a company subscribing to Weekli. A signed Order Form or clear online order should identify the plan, fees, modules, term and any special terms. The signed Order Form takes priority over these standard commercial terms where it expressly says so; the DPA takes priority for personal-data processing.
1. Service and licence
Subject to payment and these terms, trading as Weekli grants the customer a non-exclusive, non-transferable, non-sublicensable right during the subscription to allow authorised users to use Weekli for the customer's internal business operations. Accounts are individual and credentials/MFA codes must not be shared.
2. Trials, orders, fees and renewal
The applicable Order Form or checkout sets the plan, included users/modules, billing cycle, fees, trial and renewal model. Unless an order clearly states otherwise, expiry of an evaluation trial by itself does not authorise a charge. Fees are exclusive of VAT unless stated otherwise. Commercial renewal price changes will be notified in advance and will not retrospectively alter a committed paid period.
3. Customer responsibilities
The customer is responsible for authorised users, lawful and accurate Customer Data, lawful employment/workforce processing, timely account deactivation and competent review of records generated through Weekli. The customer must ensure it has the required lawful basis and, where relevant, special-category conditions and employment documentation. Customers should not require unnecessary medical diagnoses or sensitive details in general free-text fields.
4. Customer Data
As between the parties, the customer retains its rights in Customer Data. Weekli processes Customer Data to provide, secure, maintain and support the service, follow lawful customer instructions and meet legal obligations. Weekli does not acquire ownership of Customer Data or sell it as an advertising dataset.
5. Data protection
For most workforce/operational personal data, the customer is Controller and Weekli is Processor under the Data Processing Addendum. Weekli may act as an independent Controller for limited billing, direct customer relationship, security, abuse prevention and corporate/legal administration data.
6. Security
Weekli will maintain reasonable technical and organisational measures appropriate to the service and processing risks. Super Admin MFA is mandatory. Office MFA may be Required, Optional or Disabled according to customer configuration or a Weekli minimum-security requirement. Customers remain responsible for device security, internal permissions, email security and credentials.
7. Availability, support and changes
Weekli will use reasonable care and skill and may deploy fixes, security updates and improvements. Planned or emergency maintenance may affect availability. Unless an Order Form expressly creates a service-level commitment, response/availability targets are service objectives rather than guaranteed service credits.
8. Compliance records and calculations
Weekli supplies software workflows, calculations, forms, PDFs, status indicators and record storage; it does not provide legal, employment, payroll, tax, engineering, scaffolding, health-and-safety or other professional advice. A generated record or automated calculation does not guarantee the underlying work is legally compliant, technically correct or safe. The customer remains responsible for competent review and statutory duties.
9. Signatures and acknowledgements
Weekli may record signatures, acknowledgements, timestamps, account identity and audit events as evidence of user actions. Unless expressly stated, Weekli does not represent that an in-app signature is a qualified electronic signature or independently verify legal authority beyond the authenticated workflow.
10. Weekli intellectual property
Weekli software, source code, database structures, generic workflows, interfaces, documentation, branding and improvements remain owned by Weekli or its licensors. Subscription, reimbursement or payment for requested development does not transfer source code, platform ownership or generic feature IP unless a separate signed agreement expressly states otherwise.
11. Confidentiality and third parties
Each party must protect the other's confidential information with reasonable care. Weekli may use infrastructure/service providers to deliver the platform. Current core providers are listed in the Subprocessor Notice.
12. Suspension
Weekli may proportionately suspend access where fees are materially overdue after reasonable notice, use creates a security/legal risk, or there is a material breach. Where reasonably possible, Customer Data will be preserved while the issue is remedied.
13. Termination and exit
The Order Form sets the subscription term. A party may terminate for an unremedied material breach after reasonable written notice, or immediately for a serious breach that cannot reasonably be cured. On exit, the customer should arrange export of records it needs to retain. Customer Personal Data will then be returned/deleted in accordance with the DPA, subject to legal retention and protected backup cycles.
14. Warranties and liability
Weekli warrants reasonable care and skill. It does not promise uninterrupted/error-free service or that software alone satisfies every regulatory obligation. Nothing limits liability that cannot lawfully be limited, including death/personal injury caused by negligence or fraud. Subject to that, the draft commercial position is an aggregate liability cap equal to fees paid/payable for Weekli in the 12 months before the event, with exclusion of indirect/consequential loss and lost profit/revenue/goodwill/anticipated savings to the extent permitted by law. This clause requires final solicitor/insurance review before production.
15. General and governing law
These terms do not create a partnership, joint venture or agency. If one provision is unenforceable, the others continue. The contract is governed by the law of England and Wales and, unless agreed otherwise, the courts of England and Wales have exclusive jurisdiction.
